TERMS OF SERVICE AGREEMENT
1. ACCEPTANCE OF TERMS

- Termination is effective upon notice or immediately
6.3 Termination by User
Users may terminate their own account by:

- Providing account identification information
- Confirming termination is intentional

Effect: Termination ends User's right to access Website and services.
6.4 Suspension vs. Termination

- Preliminary injunctions

C. Monetary Damages
Company may recover:
- Direct damages from breach

- Costs of enforcing Terms (attorney's fees, court costs)
- Damages from intellectual property infringement
- Reputational damages (where applicable)
- Punitive damages in cases of willful violation
9.3 Enforcement Procedures
A. Notice & Opportunity to Cure
For violations not involving imminent danger:
- Company provides written notice of violation
- User has 7 days to cure/remediate
- Company may extend cure period at its discretion
- Failure to cure may result in termination
Exception: Imminent danger situations permit immediate termination without notice.
B. Investigation Process
Company may:
- Investigate alleged violations
- Request information from User
- Review User conduct and activity
- Consult with legal counsel
- Involve law enforcement if needed
- Take reasonable steps to investigate
C. Documentation
Company maintains:
- Records of violations
- Communication with User
- Evidence of breach
- Documentation for legal proceedings
- Logs of enforcement actions
9.4 Legal Claims & Procedures
A. Burden of Proof
- Company bears burden in breach claims
- User bears burden for affirmative defenses
- Criminal charges require proof beyond reasonable doubt
- Civil claims require preponderance of evidence
B. Defenses
Users may assert defenses including:
- Factual inaccuracy of alleged violation
- Conduct does not violate Terms
- Circumstances beyond User's control
- Company's waiver of enforcement
- Statute of limitations

C. Counterclaims

9.5 Statute of Limitations
A. Limitations Period
- Claims under these Terms must be brought within two (2) years
- Claims beginning after two years are barred
- Time runs from date of breach or discovery
- Limitations period may be extended by law
B. Tolling
Limitations period may be tolled (paused) by:
- Company's actions preventing discovery
- Fraudulent concealment of breach
- Minority status of User
- Disability of User
- Other legal grounds
9.6 Severability & Waiver
A. Severability
If any provision is found invalid or unenforceable:
- Invalid provision is severed
- Remaining provisions remain valid
- Court may reform provision to enforce intent
- Company may remove invalid provision
B. Waiver
- Company's failure to enforce is not waiver
- No single waiver waives future rights
- Partial enforcement doesn't waive other claims
- Waiver must be in writing and signed
9.7 Injunctive Relief
A. Right to Injunctive Relief
Company is entitled to seek injunctive relief for:
- Intellectual property infringement
- Breach of confidentiality
- Violation of use restrictions
- Threat to Website security
- Harassment or abuse
- Threatened irreparable harm
B. Availability
Injunctive relief is available without posting bond, and User waives:
- Requirement to post security bond
- Right to contest bond amount
- Right to delay injunction pending trial
- Right to appeal preliminary injunction (except on law)
9.8 Attorney's Fees & Costs
A. Recovery of Legal Costs
The prevailing party in legal proceedings may recover:
- Reasonable attorney's fees
- Court costs and filing fees
- Expert witness fees
- Investigation and discovery costs
- Other reasonable litigation costs
B. Prevailing Party Definition
Prevailing party is:
- Party who wins at trial or arbitration
- Party in whose favor settlement is reached
- Party who achieves substantial relief
- Party who successfully defends claim
10. DISPUTE RESOLUTION
10.1 Informal Resolution
Before pursuing formal legal action:
A. Step One: Notice
User or Company provides written notice including:
- Specific violation or claim
- Relevant facts and circumstances
- Proposed resolution
- Deadline for response (minimum 30 days)
B. Step Two: Good Faith Negotiation
Parties engage in good faith negotiation:
- Direct communication between parties
- Attempt to reach mutually acceptable resolution
- Both parties act reasonably and cooperatively
- Discussion occurs for minimum 30 days
C. Step Three: Escalation
If unresolved, matter escalates to:
- Company Director or Manager
- Senior decision-maker with settlement authority
- Additional 30-day negotiation period
- Parties attempt to resolve in good faith
10.2 Mediation
If negotiation fails:

- Parties mutually select neutral mediator
- Mediation held in Ohio
- Parties split mediator costs equally
- Mediation lasts minimum 30 days
- Each party presents position to mediator
- Mediator attempts to facilitate resolution
B. Mediation Confidentiality
- Mediation discussions are confidential
- Settlement offers are confidential
- Mediator cannot be compelled to testify
- Statements in mediation are not admissible
- Confidentiality survives mediation conclusion
10.3 Arbitration Clause
A. Agreement to Arbitrate
Users and Company agree that disputes shall be resolved by binding arbitration, NOT court proceedings.
B. Arbitrable Disputes
This arbitration clause covers:
- All contract disputes
- All tort claims
- All property disputes
- All breach of duty claims

- Limited appeal rights per arbitration law
10.4 Class Action Waiver
A. Agreement to Waive Class Action
Users and Company agree that arbitration/litigation shall be on individual basis only.
B. No Class or Collective Actions
Users may not:
- Bring class action lawsuits
- Pursue collective action claims
- Join claims with other users
- Assert representative claims
- Pursue mass arbitration
- Form user class or collective
C. Effect of Waiver
- Each User's claim is decided individually
- Arbitrator cannot consolidate claims
- Users cannot aggregate claims for larger amount
- Each party bears own costs
- Class action waiver is independent and severable
10.5 Small Claims Court Carve-Out
A. Small Claims Court
Users may pursue claims in small claims court if:
- Claim is within small claims court jurisdiction
- Claim is pursued individually (not class action)
- User files in proper jurisdiction
- User complies with small claims procedures
B. Effect
- Small claims court proceeding does not waive arbitration for future disputes
- If User files in small claims court, Company may remove to arbitration
- User retains right to arbitration despite small claims filing
10.6 Jury Trial Waiver
A. Waiver of Right to Jury Trial
Users and Company waive:
- Right to jury trial
- Right to jury determination of facts
- Right to jury determination of law
- Right to jury verdict
- Jury trial in any proceeding
B. Effect
- Disputes are decided by arbitrator or judge
- No jury is impaneled
- No jury instructions are given
- Fact-finding is by arbitrator/judge
10.7 Litigation Proceedings
If arbitration is not enforced or available:
A. Jurisdiction & Venue
- Exclusive jurisdiction in state or federal court in Ohio
- Exclusive venue in Hamilton County, Ohio
- User consents to jurisdiction and venue
- User waives objections to venue
B. Applicable Law
- Law of State of Ohio applies
- Federal law applies to federal claims
- Conflicts of law rules do not apply
11. MODIFICATIONS TO TERMS
11.1 Right to Modify
Company reserves the right to modify these Terms at any time:
